State and Local Tax
The SALT practice provides comprehensive planning and advocacy services for a wide range of state and local tax matters. The focus of our SALT practice is transaction-based services, including business organization, choice of entity, merger & acquisition activity, business dissolution and divestiture. We advise our clients as to their business operations, sales, billing and compliance activities with the goal of achieving advantageous tax results within the letter and spirit of the law.
We have requested private letter rulings regarding the applicability of various tax laws to the particular business operations of our clients. With such rulings, we offer recommendations as to how the business may structure its operations, revise existing contracts or alter their billing practices. |

We regularly advise our clients on issues related to nexus, apportionment of multistate income, business/nonbusiness income characterization, tax base and deductions, the generation and utilization of tax credits and tax return filing methodologies. Many clients ask us to review their business and corporate returns with a view of minimizing future liabilities and securing potential refunds.
We represent clients during the audit process, challenging deficiency notices that stem from such audits. In many instances we reach favorable settlement terms without the need for timely and costly litigation. When settlement is not attainable, we have sought resolution of tax matters at the administrative levels of the Franchise Tax Board, State Board of Equalization and the Internal Revenue Service.

As with income tax, we assist clients in a broad range of tax issues including nexus, taxable classification of goods and services, and tax exemptions. We represent clients in their day-to-day activities to manage tax exposure and facilitate their tax compliance efforts. To this end, we review our clients’ procurement functions, product and service classifications, delivery methods and customer billing practices. As a result of these reviews, we often find opportunities to file refund claims and occasionally tax exposures requiring resolution through available state voluntary disclosure and amnesty programs. We also represent our clients during the audit process, challenging deficiency notices and filing refund claims on their behalf to recover tax overpayment. |
